Terms of Service

These Terms of Service ("Terms") govern your use of Umbra Pay (the "Service"). By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Important: Umbra Pay is a personal-finance planning tool. It is not a bank, broker, money-transmitter, payment processor, or registered financial advisor. It does not hold, move, transfer, invest, or otherwise touch real money. The "Route this paycheck" feature inside the app is a tracking entry only — no funds are moved.

1. What Umbra Pay is

Umbra Pay helps you visualize and plan how to allocate each paycheck across personal "vaults" (categories like Bills, Savings, Investing). The Service:

  • Lets you define vaults with percentages and/or fixed monthly amounts
  • Tracks a simulated history of paychecks you have allocated
  • Calculates forward projections (next 6 months of paychecks)
  • Provides AI-generated insight on your plan when you explicitly request it

You remain solely responsible for actually moving money in your real bank accounts. Umbra Pay does not perform any banking, payment, investing, or transaction-processing functions.

2. Eligibility

You must be at least 18 years old to use the Service. By signing up you represent that you are 18 or older, that the information you provide is accurate, and that your use of the Service complies with all laws applicable to you.

3. Your account

  • You are responsible for keeping your password and credentials confidential.
  • You are responsible for all activity that occurs under your account.
  • If you believe your account has been compromised, contact support@umbrapay.ca immediately.
  • One account per person. Sharing accounts or running automated traffic against the Service is prohibited.

4. Acceptable use

You agree not to:

  • Reverse engineer, decompile, scrape, or attempt to extract the source code of the Service
  • Use the Service to violate any law, infringe any third party's rights, or transmit malicious code
  • Attempt to bypass rate limits, authentication, or other security mechanisms
  • Use automated tools (bots, scripts) to interact with the Service except as expressly permitted
  • Submit content that is unlawful, abusive, fraudulent, or deceptive
  • Use the Service to build a competing product

We may suspend or terminate accounts that violate these rules, with or without notice.

5. AI-generated content

The "Get AI insight" feature generates suggestions using third-party AI (currently Anthropic's Claude). These suggestions are not personalized financial advice. They are general observations derived from the numbers you have entered and may be inaccurate, incomplete, or unsuitable for your specific situation.

You are solely responsible for any financial decisions you make. Always consult a licensed professional before acting on AI-generated insights or before making significant financial decisions.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. UMBRA PAY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that calculations will be accurate, that AI insights will be helpful, or that your data will never be lost. You use the Service at your own risk.

Nothing in the Service constitutes financial, investment, tax, accounting, or legal advice. Consult a qualified professional for advice specific to your situation.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMBRA PAY AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST REVENUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you have paid us in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100). For users of the free tier this means our liability is capped at CAD $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. The limitations above apply only to the maximum extent permitted by applicable law.

8. Indemnification

You agree to indemnify and hold Umbra Pay harmless from any claims, losses, or damages, including reasonable legal fees, arising out of your misuse of the Service, your violation of these Terms, or your violation of any third party's rights.

9. Intellectual property

Umbra Pay (the application, the brand, the source code, the design) is owned by us and protected by Canadian and international copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

Your data is yours. The vault names, percentages, paycheck amounts, and routing history you enter remain your property. We store and process this data to provide the Service under our Privacy Policy.

10. Account termination

By you

You may delete your account at any time by emailing support@umbrapay.ca. Your data will be deleted within 30 days.

By us

We may suspend or terminate your account if you violate these Terms, if we are required to do so by law, or if we discontinue the Service. Where reasonable, we will provide notice and an opportunity to export your data.

11. Changes to the Service

The Service is under active development. We may add, modify, or remove features at any time. We will not make changes that materially reduce core functionality without notice.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email and within the app. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after a change constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts located in Ontario, Canada, and you consent to personal jurisdiction in those courts.

Before initiating any formal legal proceedings, you agree to first contact us at support@umbrapay.ca and attempt in good faith to resolve the dispute informally for at least 30 days.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Umbra Pay regarding the Service and supersede any prior agreements.
